Terms of Use

1. Acceptance

By using the Utsavly app, you agree to these Terms. If you don't agree, don't use the app.

2. What Utsavly is

Utsavly helps you plan an event (wedding, engagement, housewarming, birthday, and similar occasions) by generating a supply and ritual checklist based on your guest count and optional tradition preferences, and connecting you with a coordinator who arranges vendors (catering, decor, furniture rental, officiants, etc.) to fulfill your order.

Utsavly is a coordination and marketplace service, not the vendor itself. Vendors sourced through Utsavly are independent third parties. Utsavly coordinates the booking and communicates your requirements to the vendor, but the vendor — not Utsavly — is responsible for the quality, safety, timeliness, and legality of the goods and services they deliver.

If a vendor delivers late, delivers something unsafe or materially different from what was ordered, or fails to show up, your primary recourse is against that vendor; Utsavly's role is to help resolve the issue where we reasonably can — for example, by facilitating a replacement vendor, withholding payment to a non-performing vendor pending resolution, or removing a vendor from the platform for repeated failures — and by handling refunds only to the extent set out in Section 4. Utsavly is not an insurer of vendor performance and does not guarantee any particular outcome from a booking.

3. Your account and information

You're responsible for the accuracy of the information you provide (guest count, event date, contact details). Providing false information that affects order fulfillment (e.g., wildly wrong guest counts) is your responsibility, not ours.

Eligibility: you must be at least 18 years old to place an order or register as a vendor or Captain on Utsavly. We use 18 rather than a lower age because that's how India's DPDP Act, 2023 defines "child," and this app has no parental-consent mechanism to lawfully serve anyone younger — see the Privacy Policy for detail.

4. Orders, payment, and cancellation

Pay-after-service: payment is collected once every item on your order has been marked done and you confirm — not at booking. Placing an order books vendors; it does not charge you immediately.

Before any real launch, this section must still be rewritten to cover: pricing and what's included; payment processing and refund policy; cancellation windows and any cancellation fees; what happens if a vendor cancels on you (see also section 4a).

4a. Vendor and customer conduct guidelines

Both sides agree to app-shown guidelines before they can transact: vendors at registration, hosts at checkout. In short: vendors commit to honoring listed prices/availability, responding to bookings promptly, and delivering what they accepted; hosts commit to being reachable, providing accurate venue details, and paying promptly once work is confirmed done.

This in-app summary is not a substitute for a properly drafted vendor agreement and customer terms — counsel should formalize both before real money is at stake, particularly the liability question flagged in section 2.

4b. Reviews

Customers and vendors may rate each other (1–5 stars, optional comment) once an order is paid — see the in-app review prompts. Utsavly does not itself publish a rating of either party; it uses these reviews internally to decide which vendors to keep verified and listed.

5. The AI assistant

Utsavly includes an AI-powered assistant ("Describe your event" and chat) that can suggest ritual checklists and answer questions. AI-generated content may be inaccurate or incomplete, especially for specific religious or community customs. It's a starting point, not authoritative religious or cultural guidance — verify anything ritual-specific with your family, community elders, or officiant before relying on it. We are not liable for inaccuracies in AI-generated suggestions.

6. Tradition profile

The optional tradition/community information you provide is used solely to personalize your own checklist, per our Privacy Policy. We do not use it to restrict which vendors you can book.

7. Prohibited use

Don't use Utsavly to:

  • submit false information to defraud a vendor or coordinator;
  • harass coordinators or vendors;
  • attempt to access another user's order data; or
  • use the service for any unlawful purpose.

8. Intellectual property

The Utsavly app, its design, and its content (excluding content you submit) belong to JRVR Technologies Private Limited. You keep ownership of the event details and text you submit, but grant us a license to use it to provide the service (e.g., sending your description to our AI provider to generate a plan).

9. Limitation of liability

To the maximum extent permitted by applicable law:

  1. Utsavly's total liability to you arising out of or relating to your use of the app, for any single order or claim, is limited to the amount you actually paid to Utsavly for that order (or, if no payment was made, ₹5,000);
  2. Utsavly is not liable for indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or goodwill, even if advised of the possibility;
  3. Utsavly is not liable for the acts, omissions, or defaults of independent vendors, or for events outside its reasonable control (including weather, venue issues, or force majeure).

Nothing in these Terms limits liability that cannot be limited under Indian law, including liability for death or personal injury caused by negligence, or liability arising from fraud or willful misconduct.

10. Termination

We can suspend or terminate access for violating these Terms. You can stop using the app at any time.

11. Governing law

These Terms are governed by the laws of India. Subject to any mandatory consumer-protection rights you may have under the Consumer Protection Act, 2019 (including the right to approach your local consumer forum), the courts at Hyderabad, Telangana shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms.

12. Grievance redressal

As required under the Consumer Protection (E-Commerce) Rules, 2020 and the IT Rules, 2021, Utsavly maintains a grievance-redressal mechanism for both hosts and vendors. Contact: [email protected].

[JRVR Technologies Private Limited: name a specific Grievance Officer and Nodal Officer here — name, designation, and confirmation both are India residents, as these Rules require — once appointed. Until then this inbox is the functioning grievance channel, but the named-individual requirement is not yet satisfied.]

We'll acknowledge your complaint within 48 hours and aim to resolve it within 30 days. This is in addition to, not instead of, your right to approach a consumer forum under the Consumer Protection Act, 2019 (see Section 11) or the Data Protection Board of India for data-related grievances (see the Privacy Policy).

13. Changes to these terms

We'll update the "Last updated" date above when these change and notify you of material changes through the app.
